These Platform Terms (“Terms”) govern your Binto account and your use of Binto products, including Marketplace, Operations, and Commerce. By creating an account, checking the signup box, verifying your email, or using Binto, you agree to these Terms and to the Privacy Policy.
You may not know at signup which products you will later use. These Terms therefore cover Binto generally. Additional product terms apply when you activate a specific module, as described below.
1. What Binto is
Binto LLC provides software and an industry network for convenience retail. Depending on what you activate, that may include:
- Marketplace — listings, profiles, search, and introductions among retailers, suppliers, brokers, service providers, and other users.
- Operations — workspace tools for documents, contacts, assets, team members, and related operating records.
- Commerce — invoicing, billing, and payment-collection software for a Commerce organization you create.
Binto is a technology platform. Unless a specific product term says otherwise, Binto is not a party to your underlying business transactions, is not the merchant of record for goods or services you sell, and does not provide legal, tax, accounting, or financial advice.
2. Your account
You must provide accurate registration information, keep your password confidential, and complete email verification when requested. You are responsible for activity under your account.
You must be able to form a binding contract. If you use Binto for an organization, you represent that you are authorized to bind that organization to these Terms for account-level use.
Binto may suspend or close accounts that are inaccurate, abusive, unlawful, or that create operational or payment risk.
3. Marketplace
Marketplace helps users publish listings and connect. Diligence, negotiation, and closing of a business, supply, or service transaction happen off-platform between the users involved.
You are responsible for the accuracy of listings, profiles, inquiries, and other content you submit. Binto may edit, recategorize, deactivate, or remove content that violates quality, legal, or safety standards.
Binto does not guarantee transaction outcomes, financial performance, licensing status, or another user’s representations. Perform your own diligence and obtain professional advice.
4. Operations
Operations is software for storing and organizing business operating records you choose to put on Binto, such as documents, contacts, assets, and team access.
You remain responsible for the lawfulness, accuracy, retention, and confidentiality of records you store, and for the access you grant to teammates. Binto does not become your records custodian of last resort, licensed professional, or insurer of those records.
Do not upload content you are not allowed to store, including another person’s sensitive personal information without a lawful basis.
5. Commerce
Commerce is optional software. Creating a Commerce organization is a separate step from signup.
If you create a Commerce organization, you must also accept the Binto Commerce Terms and Conditions. Those Merchant terms, not these general Terms, govern invoicing, payment collection, merchant-of-record status, Stripe connected-account use, and related Commerce liabilities.
A person paying a Commerce invoice is not required to accept the Merchant terms. The payer instrument is the Customer Payment Notice presented on the payment page, together with this Privacy Policy.
Binto does not sell the goods or services on a Commerce invoice. The issuing Merchant is responsible for the underlying transaction, taxes, refunds, and customer disputes.
Online card and ACH collection uses Stripe. You must complete Stripe’s connected-account requirements and a separate Provider payment agreement before online collection is enabled.
6. Electronic records and notices
You agree to receive account, security, and product notices electronically, including verification and transactional email. You can review current Terms at /terms and the Privacy Policy at /privacy.
7. Acceptable use
You may not use Binto to mislead other users, infringe others’ rights, interfere with the service, attempt unauthorized access, submit malware, or process unlawful, fraudulent, or prohibited transactions.
8. Third-party services
Binto uses infrastructure and product partners as needed to operate, including database hosting, transactional email, media storage, maps/address lookup, and payment processing (including Stripe). Those providers have their own terms and privacy practices for services they perform.
9. Changes, liability, and contact
Binto may update these Terms. The version published at /terms is the current account-level Terms. Continued use after a posted update constitutes acceptance of the updated Terms.
To the extent permitted by law, Binto provides the platform “as is,” is not liable for off-platform deals or a Merchant’s invoices, and is not liable for lost profits or indirect damages. Some jurisdictions do not allow certain limitations.
